-- Start log: Wednesday, October 16, 2013 9:14:59 pm ASI Meeting Server time -- PhilipC says, "Hello and thank you all for coming!" PhilipC says, "I got distracted for a moment. My apologies" PhilipC says, "This is the 2013 October 16 Management Committee Meeting" PhilipC says, "For the purpose taking attendance will all who are present please state your name and your position" PhilipC says, "Philip Crume, Chairman" Scottyg says, "Scotty Gammenthaler, Assistant Treasurer" Lunadyne has arrived. Lunadyne says, "Howdy everyone!" PhilipC says, "Ken, we are taking attendance. Great timing!" Lunadyne says, "Ken Murphy, President" Strangelv-1 says, "James Gholston, secretary" pjbanyai says, "Paul Banyai, Vice-President" AlanSteinberg says, "Alan Steinberg, Director" dcarson says, "Dana Carson Treseurer" PhilipC says, "That leaves Rose, Ben, and Jim." PhilipC says, "It appears that we have quorum. " PhilipC says, "Dana, were you able to get through to Jim?" dcarson says, "not yet" Rose/Miros has arrived. dcarson says, "will send a email" PhilipC says, "Hi Rose, we're taking attendance" Strangelv-1 says, "Does anyone have his phone number? I seem to remember someoen having it earlier" PhilipC says, "And that's Rose. Our Secretary, James Gholston, sent us the minutes for the last meeting. I would like to direct all of you to your emails and to ask you to review the minutes. " Strangelv-1 just got an email from Ken; does that count? PhilipC says, "I got a hold of Jim in the last few minutes. He's waiting to get connected." Lunadyne says, "That's the ad for the comic." PhilipC says, "Does anyone have any questions about the minutes?" Lunadyne says, "Reviewed. No issues." AlanSteinberg says, "looks good" dcarson says, "looks fine" PhilipC says, "If there are no issues, would someone like to make a motion to approve the minutes?" Lunadyne says, "so move" PhilipC says, "Second?" Rose/Miros says, "second" AlanSteinberg says, "second" PhilipC says, "Any further discussion?" Rose/Miros says, "call the question?" pjbanyai says, "Jim sent a reply to the reminder saying he was flying back to SF last night and would be in the meeting. It is possible he did not realize that the time posted was for Eastern Time." PhilipC says, "All in favor of approving the minutes for the 2013 October 2 Management Committee Meeting, please say aye. All opposed nay. All abstentions abstain." Strangelv-1 says, "abstain" AlanSteinberg says, "aye" PhilipC says, "abstain" Lunadyne says, "aye" dcarson says, "aye" PhilipC says, "Two votes are unaccounted for" PhilipC says, "Rose and Paul, what say you?"" PhilipC says, "With 7 voting members in attendance, we really need Rose or Paul to vote." pjbanyai says, "Jim is in the Commons" PhilipC says, "Paul, the vote on approving the minutes of the last meeting is still on the floor" pjbanyai says, "aye" PhilipC says, "The motion carries." Strangelv-1 says, "HE's logged in as a guest and the room isn't letting him in" Jim [Guest] arrives. PhilipC says, "Hello Jim!" Strangelv-1 says, "Yay!" Strangelv-1 updates the minutes to full attendance Jim [Guest] says, "Hello!!" Jim [Guest] ) Jim [Guest] says, "made it - apologies for transit time!" PhilipC says, "Jim, we've just taken attendance. If you can state your name and position (director). we can list you as being present" Jim [Guest] says, "Jim Keravala, Director present" Lunadyne says, "Welcome Director Jim!" dcarson says, "welcome to the moo" Jim [Guest] says, "thanks all!" PhilipC says, "you can type "@who" to find out who's here and their names" Jim [Guest] says, "great thanks!" Jim [Guest] says, "great to see you all" PhilipC says, "Now just to remind everyone, the floor is now open for five minutes to discuss the agenda." PhilipC says, "We have the last breath ad. Is there anything else?" pjbanyai says, "Hi Jim. For future reference you can login to the MOO with your teamdir username of Jimnexus. Teamdir will usually automatically allow you into any MOO room linked to a team that you are a member of." Strangelv-1 says, "I wish to have an idem for ammending the chapter rules as discussed prior to the meeting" Strangelv-1 says, "Item, too" PhilipC says, "Chapter rules." Jim [Guest] says, "ok thanks Paul" PhilipC says, "perhaps we can discuss one of the changes to the bylaws that Alan and I have been working on" Strangelv-1 has no objection Strangelv-1 says, "WE might also want to discuss the ad that Ken emailed" AlanSteinberg says, "Philip I'd rather we just deal with chapter rules tonight and move to bylaws some other time once people hvae actually read them" PhilipC says, "Alright, we can discuss it at another meeting then" pjbanyai says, "I have setup Google Apps for Nonprofits using a file for domain verification. I will try to import users from Teamdir using a crv file. Until dns/mx records can be setup many features like email will not work properly. Since email can be sent by Google apps but not currently receieved, we will still not have a working official replacement for our current mailing lists. However, I should still be able to setup Google Drive so that we can all access and work on files as a team." PhilipC says, "Speaking of meetings, I would also like to have a little time to discuss the change to our meeting schedule" PhilipC says, "Paul, do you need time on the agenda to discuss that?" pjbanyai says, "Not really, that pretty much covers it." PhilipC says, "Okay, we need to start wrapping it up. It's been five minutes." PhilipC says, "So far we have:" PhilipC says, "1) Last Breath Ad" PhilipC says, "2) Chapter rules" PhilipC says, "3) Meeting schedule change" PhilipC says, "If you would like, we can give Jim a quick overview of what we're doing." PhilipC says, "Alright let's get started." Jim [Guest] says, "most welcome, thanks" PhilipC says, "Ken, do you have anything for the Membership committee report?" Lunadyne says, "Pulling up info..." Lunadyne says, "Membership is at 152, down one from the last meeting." Lunadyne says, "Basically flat." Lunadyne says, "Hopefully that will go up when the ad runs." Lunadyne says, "Any questions?" Strangelv-1 says, "Just very grad that we don't have the NSS's problem" Jim [Guest] says, "just so i'm clear, what's the problem they have?" Lunadyne says, "Yeah, which one?" Strangelv-1 says, "Plummeting membership" Rose/Miros says, "money that burned holes in their pockets all the way to their toes" Lunadyne says, "What are they down to now?" Strangelv-1 says, "Is the one I was thinking of it this context. The bysavtine leadership structure, attrition rate of chapters, money problems -- I must admit I'm glad we don't have those problems either." Lunadyne says, "Prudent, conservative leadership..." PhilipC says, "The NSS's problem is that they're too focused on NASA and US space policy" PhilipC says, "Hopefully with what we're starting to put into the pipeline, we'll become the minnow that eats the whale" Strangelv-1 says, "That's another probrlem which doesn't help their chapterls, which never had that focus" Strangelv-1 says, "At least not the old ones" Lunadyne says, "Amongst other problems. HQ (NSI) never cultivated the chapters (L-5 Society), to the detriment of both." Strangelv-1 says, "Another reason for us to grab those chapters" PhilipC says, "Let's not use this time to focus on NSS and keep the conversation limited to our own members" Strangelv-1 mentally wraps up his giving of thanks Lunadyne says, "Agreed. I'm with Peter, in that we need to make it as easy as possible for people to join and get active. " Jim [Guest] says, "i think the problem also extends to the fact that societies used to be the primary means of communication for vertical sectors. Now the internet has liberated the communications so it is harder for organisations to capture the same proportion of membership. It's also quite likely their leadership is still trying to address the problem with outdated solutions; potentially useful lessons to be learned" PhilipC says, "Jim, we're in the middle of that very transition ourselves." Jim [Guest] says, "for sure" Jim [Guest] says, "affects us all" Strangelv-1 says, "Or trying to find our way to the middle" Lunadyne says, "Well, as I noted at FenCon on a panel, kids these days will like, friend, +1, thumbs up, and so forth, but they won't actually commit." Strangelv-1 says, "This said, in one sense we've always been on the Internet" PhilipC says, "We can discuss this in great depth during the last agenda item. We need to move things along now" Strangelv-1 says, "Starting from the wvery beginning. Dana was there for that." PhilipC says, "Ken, do you yield the floor?" Lunadyne says, "Yup." PhilipC says, "Thank you." PhilipC says, "Dana, would you like to give a treasurer's report?" dcarson says, "had to resend the MMM check, they had changed the formal name of the org and had a new bank account" dcarson says, "otherwise normal evnets" dcarson says, "questions?" Lunadyne says, "Has the Last Breath check cleared?" dcarson says, "they siad they got it, haven't seen it clear yet" PhilipC says, "Are there any other questions for Dana?" Strangelv-1 has none PhilipC says, "Dan, do you yield the floor?" PhilipC says, "*Dana" dcarson says, "yes" PhilipC says, "Thank you." PhilipC says, "Rose, if you're present, would you like to discuss the website?" Rose/Miros says, "Basically, we're all unwinding from the big push" Rose/Miros says, "dealing with other commitments, hopefully we can get back in gear again" PhilipC says, "We still have content from the old site that we need to copy to the new one" PhilipC says, "Any help we can get would be appreciated" Rose/Miros says, "anyhow, if anyone has any complaints about the website, come up with specific things to change or concept art or something at least semi concrete" Rose/Miros says, "idunlikeit" don't fly" Lunadyne says, "No existentialist griping?" Rose/Miros says, "no griping, period" dcarson says, "can you upload images yet?" Lunadyne says, "Still want a calendar." Rose/Miros says, "yikes, that slipped my mind, I did ask mike about it" Rose/Miros says, "ok, those are concrete" Rose/Miros says, "lemme grab paper" Rose/Miros scribbles uploads and calendar Strangelv-1 says, "Needing regular new announcements. Our current announcement is about a past tense event" Scottyg says, "I fixed the problem where the /images directory was inaccessible. It was a permissions problem." Rose/Miros says, "one sec" PhilipC says, "While we're waiting" Strangelv-1 says, "I've still not learned what I need to know to solve the front page limitations" PhilipC says, "Does anyone have any comments about the proposed logos I made a week ago?" Strangelv-1 says, "One problem is it looks like a swoosh. That's something we should have added to the agenda. Should we do so now?" PhilipC says, "I forgot to add that to the agenda" PhilipC says, "Would everyone be willing to add that as another agenda item?" Lunadyne says, "I prefer waxing cresecents to waning crescents. More of a concept of starting something than something ending. Besides, Lunar Lore indicates it's best to start projects under a waxing crescent." pjbanyai says, "That swoosh logo is also already used by space.com." Strangelv-1 has comments but can wait until we reach that agenda item PhilipC says, "Let's refrain from further discussion on the proposed logo. " Rose/Miros says, "sorry, hub has no respect" PhilipC says, "Would you all be willing to add the logo discussion as another agenda item?" Strangelv-1 nods. Rose/Miros says, "anyhow, any other concrete requests?" dcarson says, "http://www.space.com/images/site/space-logo.png" Strangelv-1 has nothing to add or ask about the web report at this time. Rose/Miros says, "anyhow, we're still working on testbed.moonsociety.org as well" Rose/Miros says, "we do need a place to play and or work without breaking the real site" PhilipC says, "We need to start wrapping up the website report" PhilipC says, "Rose, do you have anything else?" PhilipC says, "Are there any other further questions for Rose?" Rose/Miros says, "didn't mean to part your hair scotty, but we had to get out of the whole test.moonsociety.org vs moonsociety.org vs whatever deadlock" Rose/Miros says, "archive.moonsociety.org" pjbanyai says, "While attachements do not seem posible for some reason, it is still possible to add linked images. So attachements can be uploaded with ftp/wsd or with Google Drive and placed in a Drupal page or article." Rose/Miros says, "it probably needs yet another module" Rose/Miros says, "there is a "file import" module which attaches an ftp'ed file to a page as an attachment" PhilipC says, "Technical discussions can take a lot of time. Let's continue those discussions via email" Rose/Miros says, "or in the commons, but not tomorrow" PhilipC says, "Rose, if you have nothing else, do you yield the floor?" Rose/Miros says, "sure" PhilipC says, "Thank you" PhilipC says, "On to agenda item 1) Last Breath Ad" PhilipC says, "Ken, you have the floor" Lunadyne says, "I circulated the ad this evening to leaders@moonsociety.info. Did everyone get it?" Jim [Guest] says, "yes" Jim [Guest] says, "(well, i got it at least)" Lunadyne says, "Good enough. This was prepared by the artist, Ray Cassell, based on my specs as we had previously discussed." PhilipC says, "Very nice. Would be nicer if we could change the logo..." Strangelv-1 looks at it again PhilipC says, "But I digress" Lunadyne says, "We still have some time to do so, if we can get a logo done quickly." Strangelv-1 says, "Yeah, the logo is the only signigficant issue I have with it and it's not really fixable short of not including one at all" dcarson says, "the QR code takes me to the Moon Scoiety homepage correctly" Strangelv-1 claps. Lunadyne says, "Thank Ray for that." Jim [Guest] says, "well, i'd like to comment on that - the image is beautifully rendered. It makes the logo look pedestrian in comparison. " Strangelv-1 almost says something Rose did, but that's for the Logo agenda item Strangelv-1 says, "Make the logo a lot smaller?" Strangelv-1 says, "...Or drop it altogether?" Lunadyne says, "Well then perhaps we should move on to the logo item if that's the only issue with the ad." Strangelv-1 says, "What about the typeface?" Jim [Guest] says, "Ken, can your artist propose some logo concepts?" Jim [Guest] says, "having a moon image with cutnpaste text doesn't do justice to MS potential" Lunadyne says, "How much we willing to spend?" Jim [Guest] says, "i'll add $25 to the pot" Jim [Guest] says, "for logo work" Strangelv-1 says, "If we're discussing the logo, Rose has been in contact with at artist who's interested in tackling it" PhilipC says, "Jim, we have money. It's just a matter of someone doing it" Jim [Guest] says, "understood" Jim [Guest] says, "ok" Lunadyne says, "We don't have unlimited money. I would like some budgetary envelope defined before we get all ambitious." PhilipC says, "Perhaps, we can have a logo contest and then let the members vote on which one they like best?" Rose/Miros says, "james you're ahead of amanda" pjbanyai says, "I think the footprints logo would work better than the nearside logo for the ad." Rose/Miros says, "i haven't heard from her yet" Strangelv-1 says, "I tried to create one per what Rose indicated in her email, but I'm kind of distracted right now with other commitments. Rose's ocntact might be willing to work just for the portfolio item and if approved the feather in her proverbial cap" Strangelv-1 says, "Okay" Jim [Guest] says, "i think for under $100 an artist should be able to sketch 10-20 versions and have us downselect" Rose/Miros says, "she's read the message, but not replied" Jim [Guest] says, "...and then complete the chosen version" Strangelv-1 says, "Logo and similar contests don't work well with us, as they tend to exclude by necessity the people wost motivated to do it" Strangelv-1 says, "if we held one, it might be best to not exclude officers and board members from entering and winnin,g just from claiming any prize" PhilipC says, "If you want to rely on another artist that would be fine with me. The logo that I put forth gets some of the elements that I would like to see. Minimalist/futuristic/sci-fi" Rose/Miros says, "lunar based" PhilipC says, "If I entered my proposals, I would obviously recuse myself from voting" PhilipC says, "As chair, I don't vote anyway so it washes out" Strangelv-1 says, "My nits are different than Rose's. Swooshes (crescents), circles, and spheres, whiche highly appropriate for us, are overused by unimaginative corporations. I used to believe the worst sin a logo or mascot could be guilty of was to be forgettable. I was wrong" pjbanyai says, "It is possible to have a poll contest on Facebook." PhilipC says, "So I'l throw this back to all of you, what action would you like to take at this time? To commission an artist to give us a portfolio of possibilities?" PhilipC says, "An open art contest?" Strangelv-1 says, "Even worse: being invisible. The viewer's subconsious blots it out as irrelevant background and they don't even notice it at all" bnault has arrived. PhilipC says, "How do you want to make or narrow down the final entries?" Lunadyne says, "Hi Ben, we're discussing logos." Strangelv-1 missed when Ben disconnected bnault says, "thanks sorry new win8 laptop does not behave..." Lunadyne says, "I like a Facebook poll for the final entries. That seems to be our biggest audience at the moment." Strangelv-1 says, "Oh, he wasn't here before." PhilipC says, "NOTE - Ben Nault, Director has arrived. We now have full attendance."" Strangelv-1 cheers loudly. Strangelv-1 says, "as many here know, I consider our 2000 logo that we're still using to basically be a non-logo. One important element of being a logo that most of my past submissions for a logo have failed on (in addition to tending to be spheres) is that they're not vector images or readily convertibel to vector images" PhilipC says, "We have a few warm regards to the ideas that are floating around. But we need to nail this down to something actionable." PhilipC says, "We need a source for our logo art work portfolio. Either a commissioned artist or an open contest" Strangelv-1 and Simon Rowland were given the logo action item in 2000. He regrets that neither he nor Simon got anything that the board at the time would approve. dcarson says, "a nice color image for web pages and such and a black and white version for letterhaed, tshirts etc" PhilipC says, "Next we need a way to evaluate it. Either a committee of disinterested/objective mgmt committee members here or to throw the evaluation to our supporters on the FB page" Rose/Miros says, "no, we have to narrow down first, then fb poll" Lunadyne says, "were we to spend say, $100 on the logo, I would want that divvied up amonngst a couple of folks to provide competing designs. Then we have a Facebook competition to choose the best one." Rose/Miros says, "if we invite open critisizm it just gets nasty" PhilipC says, "true" PhilipC says, "basic criteria for me is that it should have a wow factor, be iconic, use a symbol of the Moon rather than the real thing. I want it to impress the mac crowd" Rose/Miros wants it lunar based Strangelv-1 says, "A stylized wversion of the surface? Possibyl with something on the surface? Historically, our signature thing to put on the surface would be Artemis Base" PhilipC says, "A barely relevant side note, we will soon have access to NASA's image server (the House just voted to end the shutdown)" pjbanyai says, "We do not need to use a single logo for everything. We could designate certain uses for certain logos. For example a mobile logo vs a fullsite logo." Strangelv-1 says, "I suspect we'd want those to be variants of the same design, just handled differently -- a colorful PNG or SVG in one case, a stark black and white on in another, something to screen print on a dark surface, et c." PhilipC says, "Any other criteria?" Rose/Miros says, "i think kathy could deal with artemis base, as long as it looks akin to the apollo equipment" Rose/Miros says, "kathy is my friend i showed james' logo to" Rose/Miros says, "apollo equipment=erector set look" PhilipC says, "Perhaps instead of paying for a commission for a portfolio, we can pay a reasonable amount for an approved logo" Strangelv-1 wonders if anyone here saw his emailed logo draft. HE's not heard any nits about it. HE's happy to share blame for the colors with Rose, though PhilipC says, "I think up to $250 would be reasonable considering that it would be plastered over everything we do." Strangelv-1 says, "Only if wne really like, it though" PhilipC says, "agreed" Strangelv-1 says, "Something that's better than what we're currentyl using isn't much of a hurdle, as almwost anything would be better" PhilipC says, "let them give us a portfolio and we should pay for what we use" Strangelv-1 says, "ie everything rejected by various incarnations of the board from 2002ish through 2008 or so" PhilipC says, "We need to wrap this up or move on. Rose, can you contact your friend, ask for a portfolio of possibilities and ask her to offer a variety based on the criteria that we give her " Strangelv-1 says, "Something that i hepled get passed when an organization needed to replace its slogan was to get a motion to drop the existing slogan before voting on the new one. None Of the Above von the vote, and most people consider no slogan a dramatic improvement over the controversial one..." Strangelv-1 says, "Otherwise we'd still be stuck with it" PhilipC says, "Would someone like to make a motion on what I just said?" PhilipC says, "If not, we need to move on" Rose/Miros says, "as long as there's no money up front, do we need a motion?" Strangelv-1 is- too asleep to assemble it, but might be able to copy and paste it into the minutes if it's phrosed clearly enough PhilipC says, "No money up front" Rose/Miros says, "she's a college student, windfalls are great" Strangelv-1 says, "That might be consistent with not needing a motion" PhilipC says, "But up to $250 if we like it" PhilipC says, "Fair enough. Rose, run with it. Let's move on" Rose/Miros says, "ok, i'll talk to her, use handwavy stuff about how much" PhilipC says, "3) Chapter Rules" PhilipC says, "James or Ken? " Rose/Miros says, "sorry, i have to go" PhilipC says, "Thank you for coming" Strangelv-1 looks for his notes AlanSteinberg has disconnected. Strangelv-1 says, "I move to change the second sentence in paragraph 1 to read as follows: "A single-organizational chapter with less than three members is designated an outpust but does not have official chapter status. A multi-organizational chapter with two Moon Society members qualifies for official chapter status."" Strangelv-1 looks for a second Strangelv-1 says, "MAybe I also need to rephrase." Strangelv-1 says, "I move to change the second sentence in paragraph 1 of the chapter rules to read as follows: "A single-organizational chapter with less than three members is designated an outpust but does not have official chapter status. A multi-organizational chapter with two Moon Society members qualifies for official chapter status."" pjbanyai says, "second" Strangelv-1 says, "Thank you. Any discussion or nits or similar?" Strangelv-1 says, "Does anyone need me to speak for the motion?" Strangelv-1 says, "Or do we pretty much all understand it well enough by now?" The housekeeper arrives to cart AlanSteinberg off to bed. PhilipC says, "NOTE- Rose and Alan are not present. We have 7 voting members."" PhilipC says, "If there are no further questions, would someone like to call the question?" Lunadyne says, "Call it." pjbanyai says, "Silence seems to mean that we have had several people dropped who need to log back in. As evidenced by Alan being carted off to bed." PhilipC says, "Please state your preference for James' motion: aye, nay, or abstain" Strangelv-1 says, "Aye" bnault says, "aye" pjbanyai says, "aye" dcarson says, "aye" Lunadyne says, "aye" PhilipC says, "Jim, what say you?" PhilipC says, "He seems to be indisposed at the moment. He can answer when he returns." PhilipC says, "As chair, I have to abstain." PhilipC says, "The motion carries." Strangelv-1 says, "Chair plus votes is a quorum of our membership" pjbanyai says, "He and Scotty have not been active for over 30 minutes. Probably dropped. " PhilipC says, "Moving on." Scottyg says, "I'm here." Jim [Guest] says, "aye" PhilipC says, "Agenda Item 4) Change in meeting schedule" AlanSteinberg has arrived. Strangelv-1 says, "wb" AlanSteinberg says, "sorry about that, computer issue" Strangelv-1 says, "Should we get Alan's vote?" PhilipC says, "Alan, we just voted on James' motion to alter the chapter rules" Strangelv-1: You say, "I move to change the second sentence in paragraph 1 of the chapter rules to read as follows: "A single-organizational chapter with less than three members is designated an outpust but does not have official chapter status. A multi-organizational chapter with two Moon Society members qualifies for official chapter status."" PhilipC says, "James, would you like to repeat the motion so that Alan can vote on it?" PhilipC says, "Paul seconded it, except for my abstention as chair, the motion so far has been unanimous" PhilipC says, "Alan?" PhilipC says, "We can note his vote in the minutes. We need to move on. Agenda item 4) Change in the meeting schedule" AlanSteinberg says, "sorry, having issue... aye" PhilipC says, "At the last meeting, we agreed to move from a bi-weekly to a monthly meeting schedule with meetings to take place on the 3rd Wednesday of every month." Jim [Guest] says, "always 9pm EDT?" PhilipC says, "I realized after looking at the schedule for November that the third Wed. falls on the day before Thanksgiving." PhilipC says, "I would suggest moving to the 2nd Wed." PhilipC says, "Being that it's earlier in the month, it should be easier to remember." Lunadyne says, "Jim, yest they're always at 9pm Eastern time" Strangelv-1 wonders how many people here know how we arrived out our present meeting schedule Lunadyne says, "I don't." PhilipC says, "We could move to a different day and time to make it easier for folks like Jim to attend our meetings" Jim [Guest] says, "thanks Ken" PhilipC says, "I'd like to open the floor for 5 minutes to see what everyone thinks?" PhilipC says, "Would meeting on the 2nd Wednesday be more amenable to everyone?" Jim [Guest] says, "the 2nd wednesday arrangement should be ok; it's just a case of communicating clearly (especially to us newbies)" Strangelv-1 says, "If I corlrectyl understand, it was originally the Artemis Society meeting on the first and third wednesdays, and the Artemis Project meeting on second and fourth wednesdays. When the Moon Society was added to the mix, the moon Society met on first and third wednesdays with ASI meeting on the last Wednesday -- making it two meetings on the last Wednesday if there were only four Wednesdays that month." PhilipC says, "Jim, we currently meet at 9 pm EDT (-04 UST)" AlanSteinberg says, "Wed at 9 EST seems to be working for me, which Wed doesn't really matter " Lunadyne says, "I'm good for 2nd Wed. of each month." Lunadyne says, "Would the quarterly BoD meetings still be on the 3rd Wed.?" PhilipC says, "However, 9 PM EDT (-04 UST) = 3 PM HAST (-10 UST)" PhilipC says, "Quarterly board meetings would also adjust to the 2nd Wed." Strangelv-1 says, "How are our meeting times set? Are they in the bylaws? Is control over their times assigned by the bylaws?" PhilipC says, "Meeting times are "standing rules" or customs that can be adjusted whenever we like" Strangelv-1 says, "It's also in the wee hours of the morning in Ireland" Strangelv-1 says, "Which is one of the reasons Mike attending a meeting has mecome a rarity" dcarson says, "9PM meant that it was a bit early after work for west coast but not ungodly late for Ireland" pjbanyai says, "Change from Management Meeting being first and third week to only third week. With a lesser committee and sub-committee meeting taking place the first week. Currently there is no set meeting day for other meetings. The annual meeting is set for the second week of the third quarter. We have also had our town meetings the second week of the other quarters. " Strangelv-1 says, "With Dale Amon being teh one in Ireland at the time" PhilipC says, "If we had our meetings on a Saturday, we could meet at say 9 AM HAST = 3 PM EDT = 7 PM UST" Strangelv-1 says, "Saturdays are the day most likely to have a collision for me." bnault says, "let's not change too much at once...2nd Wed 9pm sounds reasonable as a trial" Strangelv-1 says, "GFor example, on the second saturday of next mont I will probabyl be in another city sitting in a room in a convention center." Scottyg says, "Saturday & Sunday don't work very well for me." PhilipC says, "It's a thought" Lunadyne says, "I move we try 2nd Wed. of Nov. as our next meeting." PhilipC says, "Any second?" Jim [Guest] says, "eacond" Jim [Guest] says, "second even" pjbanyai says, "That is supposed to be our next town hall meeting." Lunadyne says, "Again? Didn't we just have one of those?" PhilipC says, "Any further discussion?" AlanSteinberg says, "I feel like we are having our annual town hall every 2-3 months" Strangelv-1 tries to get the exact wording of the motion. is it: to try 2nd Wednesday of November as our next meeting. PhilipC says, "Paul, we have enough time. Perhaps we can move that meeting to the first Wed" Lunadyne says, ""I move we try 2nd Wed. of Nov. as our next meeting."" Strangelv-1 says, "Hopefulyl we won't have a wvisitor stranded in the Commons and giving up like at the annual meeting" Lunadyne says, "Alan, feels like every other month." pjbanyai says, "That was the official Annual Meeting. It is like the NSS ISDC meeting and Mars Society Annual meetings. We just do not have a conference hall." Strangelv-1 adds 'we' for a less formal structure but wonders if he at least has permission to unabbreviate words Strangelv-1: * Ken Murphy moved we try 2nd Wednesday of November as our next meeting. ? PhilipC says, "We need to wrap this up. Our meeting is already 10 minutes over schedule" pjbanyai says, "The Town Hall meetings are on Facebook." Jim [Guest] says, "seconded ken's motion" PhilipC says, "We have a motion on the floor that has been seconded. Let's call the question." Strangelv-1 says, "NWhich is wh5p I've not attended one for awhile" PhilipC says, "Please state your vote for the motion to adjust meetings to the 2nd Wednesday of every month, effective November 13." PhilipC says, "Aye, nay, or abstain?" AlanSteinberg says, "aye" Strangelv-1 still objects to the grammar bnault says, "aye" Lunadyne says, "Aye" Jim [Guest] says, "aye" Strangelv-1 says, "abstain" dcarson says, "aye" PhilipC says, "As chair, I must abstain" PhilipC says, "That's 5 ayes, and 2 abstentions" PhilipC says, "Paul, what say you?" PhilipC says, "We can record his answer for the minutes. The motion carries." Strangelv-1 notes that if he correctly understands as phrased, this motion expires with the next meeting. pjbanyai says, "The next board meeting is the following week" Lunadyne says, "Correct." PhilipC says, "As of this time, the only thing left to discuss is a summary of where we are as an organization for Jim. But I think we can discuss this informally after the meeting." PhilipC says, "This concludes the agenda. Are there any objections to adjourning at this time?" PhilipC says, "Can I motion to adjourn?" dcarson says, "always" Strangelv-1 wonders if we need to rearrange anything else. Like the board meeting AlanSteinberg says, "motion to move the board meeting to the 2nd Wed as well" PhilipC says, "Any second?" Strangelv-1 says, "second" Strangelv-1 says, "Question" Lunadyne says, "Ayer" AlanSteinberg says, "aye" Strangelv-1 says, "I sohuld ahave asked before seconding" PhilipC says, "Aye, nay, or abstain?" Jim [Guest] says, "aye" dcarson says, "aye" Strangelv-1 says, "Is thids also only for the next board meeting or is this a motion to change permanantly?" bnault says, "aye" Strangelv-1 says, "...which could make us out of ynch if we don't make a motion at the next meeting about the management meeting" PhilipC says, "We can resolve that at the BoD meeting" pjbanyai says, "The idea of the town hall meeting taking place the week before was so the board could discuss what members discussed about. We will have to also change the town hall meeting. I had planned on posting the reminder/invite tonight." Strangelv-1 says, "I can't vote if I don't understand the motion" AlanSteinberg says, "technically only the board votes to move the board meeting, and we probably can't even make such a motion at a management meeting based upon our bylaws" PhilipC says, "James, I would presume the narrowest definition, which would be a one time event in the case of the BoD meeting, which can determine its own schedule " Strangelv-1 says, "Should me take that as a point of order?" Strangelv-1 says, "we?" PhilipC says, "Since a director made the motion, I think it carries a little more weight" Strangelv-1 says, "I abstain" Strangelv-1 says, "As- I'm not a director" AlanSteinberg says, "for the sake of argument, consider it an informal poll of board members to move this one meeting to that one Wednesday" PhilipC says, "Again as chair I must abstain. But the motion carries" PhilipC says, "Do you also want to take a vote to move the town hall meeting?" PhilipC [to the]: 1st wed? PhilipC says, "to the 1st wed?"" AlanSteinberg says, "I don't see why we are having a town hall" Strangelv-1 says, "DOes this look accurate to you?" Strangelv-1 *Alan Steinberg moved to move the board meeting to the 2nd Wednesday of November. PhilipC says, "They're generally used to give members an opportunity to voice concerns that can get the ear of the bod before we meet" Lunadyne says, "Because we always have town halls! Given recent attendance, we can probably do those semi-annually." AlanSteinberg says, "well acording to our bylaws "The Board of Directors shall hold regular meetings at least quarterly at a time and place mutually agreeable to the Directors." we don't actually need a motion for it" PhilipC says, "again, townhalls are for members to communicate with the board" Strangelv-1 says, "Actually, the town halls were on outgrowth of complying with the requirement for an annual meeting. The first or second one was enough of a success that we started having them freqjuently, then reduced the frequency to once a quarter when we found we were holding them too often" AlanSteinberg says, "we just need to do it, so it was more of an informal poll, not a need to be in the minutes. " PhilipC says, "We need to give a 10 day notice" AlanSteinberg says, "in that case, I suggest tabling of a town hall until 2014" AlanSteinberg says, "rather than rush to have a town hall " PhilipC says, "I don't see how it can hurt. It makes little difference either way to me" Strangelv-1 says, "My inclination is to abstain on this issue as it's never been my action item to organize or run or schedule them" PhilipC says, "But we need to wrap things up. We're already about 25 minutes past our meeting schedule " Strangelv-1 says, "...And after they were moved to Facebook, it become too problematic to attempt to attend them. We've had shadow town halls in the MOO on at least one occasion though" Strangelv-1 says, "With different participants who woren't MOO regulars" Strangelv-1 says, "Move to adjourn" PhilipC says, "Second?" Lunadyne says, "Second" PhilipC says, "We are now adjourned at 11:24 EDT. Thank you all for coming. " -- End log: Wednesday, October 16, 2013 11:25:16 pm ASI Meeting Server time --
